Tech Pack Audit and Repair Service Agreement

 This Tech Pack Audit & Repair Service Agreement (the “Agreement”) is between ChloeML Design LLC (“Company”) and the purchaser identified at checkout (“Client”).

1. Service

Company will provide a Tech Pack Audit & Repair for Client’s existing tech pack materials (the “Services”).

2. Deliverables

Deliverables will be as described on the checkout page and/or confirmation (the “Scope”), and may include: audit notes, marked-up documents, prioritized fixes, and updated/repaired sections of the tech pack.

3. What This Service Is / Is Not

This service improves documentation and clarity. It does not include production management, sourcing purchases, acting as Client’s agent with a factory, pattern drafting, or guarantees of sample/fit/manufacturing outcomes.

4. Client Responsibilities

Client will provide accurate source materials and timely decisions. Delays in inputs may extend timelines.

5. Fees; Payment; No Work Before Payment

Payment is due at checkout (or per invoice if stated). Work begins after payment is received. Company may pause work if payment is late.

6. Revisions vs. Redesigns (Audit-Specific)

This service includes one (1) round of reasonable clarifications to align the Deliverables with the defined audit fixes. New directions, additional styles, or expanded deliverables are out of scope and billed separately.

7. Acceptance of Deliverables

Client will review Deliverables within five (5) business days of delivery. If Client does not respond within that window, Deliverables are deemed accepted.

8. Intellectual Property

Upon full payment, Client owns the final Deliverables created for Client. Company retains ownership of its underlying tools, templates, and methods.

9. Confidentiality

Both Parties will keep non-public project and business information confidential, subject to standard exceptions (public info, independently developed, lawful disclosure).

10. Limitation of Liability

Company is not liable for indirect or consequential damages. Company’s total liability is capped at the fees paid for this service.

11. Governing Law

Washington State law governs, with venue in King County, Washington. USA

12. Electronic Acceptance; Agreement to Terms (Clickwrap)

Electronic Acceptance. Client acknowledges and agrees that Client’s act of checking the box labeled “I have read the terms of the contract” and clicking “Purchase,” “Submit,” or equivalent constitutes Client’s electronic signature and affirmative agreement to be legally bound by this Agreement. The Effective Date is the date/time of acceptance.
